You agree to indemnify, defend, and hold harmless Partner Hub, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these terms or any activity related to your account, including but not limited to negligent or wrongful conduct, by you or any other person accessing our services using your account.

• 8.4 The results that may be obtained from using our services

To the fullest extent permissible under applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Partner Hub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• 9.1 Your access to or use of or inability to access or use our services
• 9.2 Any conduct or content of any third party on our services
• 9.3 Any content obtained from our services
• 9.4 Unauthorized access, use, or alteration of your transmissions or content

10. Consequential Damages Exclusion

In no event shall Partner Hub's total liability to you for all damages, losses, and causes of action exceed the amount you have paid to Partner Hub in the twelve months prior to the action giving rise to liability, or one hundred dollars, whichever is greater.

11. Force Majeure

Partner Hub shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

12. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Georgia, United States of America, without giving effect to any principles of conflicts of law. You agree to submit to the personal and exclusive jurisdiction of the courts located within Fulton County, Georgia, for the resolution of any disputes.

13. Dispute Resolution Procedures

In the event of any dispute arising from or relating to these terms or your use of our services, you agree to first contact Partner Hub to seek an informal resolution. We will work with you in good faith to resolve any concerns. If a dispute cannot be resolved informally within thirty days, either party may pursue formal dispute resolution through binding arbitration or litigation as set forth in these terms.

14. Severability Clause

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions. The unenforceable provision shall be replaced with an enforceable provision that most closely reflects the original intent.

15. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other legal notices published by Partner Hub, constitute the entire agreement between you and Partner Hub concerning your use of our services. This agreement supersedes any prior agreements or understandings between you and Partner Hub.

16. Waiver

No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Partner Hub's failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.
